TXR 2228Residential Tenant Estoppel Certificate

A tenant-signed certificate that verifies the key terms and current status of an existing residential lease. Used when the landlord is selling or refinancing the property so that the buyer or lender can rely on the tenant's certified representations: that neither party is in default, the base monthly rent, additional charges, the next rent due date, any rent paid more than 30 days in advance, the security deposit, any claim of offset, the lease expiration, renewal / expansion options, any right of first refusal or purchase option, acceptance and possession of the premises, no ownership interest, non-realty items and any other certification — and names the party who will rely on it.

Form Outline

The TXR 2228 form is organized into the following sections:

  1. A. Lease Identification
    "This estoppel certificate concerns the lease described below:" — Landlord, Tenant, Leased Premises and Commencement Date of Lease, one rule each.
  2. B. Tenant Certifies That
    Fourteen certifications made by the Tenant. (1) neither Landlord nor Tenant is in default, (11) Tenant has accepted and is in possession of the premises and all improvements have been made, and (12) Tenant has no ownership interest in the property are printed statements with no blank; the rest have blanks. The tenant answers this section.
  3. Delivery
    "Tenant understands that this certificate will be delivered to ___ and that this party(ies) is relying on the representations in this certificate."
  4. Tenant Signature
    The "Tenant (Signature) … Date" rule — an e-sign tab.
