TXR 2205Addendum for Authorization to Act for Owner Before Owners' Association

This addendum to a leasing and property management agreement grants the property management broker the sole and exclusive right to act on the owner's behalf in all matters involving the property's owners' association (HOA). It appoints the broker as the owner's attorney-in-fact to negotiate, receive information and documents, vote, instruct the association where to send notices and correspondence, and advise the association of the agreement and any lease. It names the association and its manager, states who remits the association's fees and assessments (the owner directly, or the broker from trust funds), and leaves space for special provisions. Signed by the Broker (or the Broker's Associate) and the Owner(s).

The TXR 2205 form is organized into the following sections:

  1. Addendum Header and Property Identification
    "ADDENDUM TO LEASING AND MANAGEMENT AGREEMENT BETWEEN THE UNDERSIGNED PARTIES CONCERNING THE PROPERTY AT ___"
  2. A. Association Identification
    "Ownership of the above-referenced Property entitles Owner to membership in the ___ (Association). The contact information of the manager for the Association is ___."
  3. B. Owner Document Obligation
    "Owner will provide Broker copies of all Association documents in Owners' possession." — no blank.
  4. C. Grant of Authority
    Grants the broker broad attorney-in-fact authority to act for the owner in all Association matters: (1) negotiate agreements; (2) request and receive information, accounting and documents; (3) vote in person or by proxy; (4) instruct the Association where to send notices and correspondence — "which as of this date, Owner instructs Association to send notices and correspondence to: ___"; (5) advise the Association of this agreement and of any lease. Does not obligate the broker to attend Association meetings.
  5. D. Assessment Payment Responsibility
    "Owner is responsible for payment of all mandatory assessments or fees payable to the Association. ❑ (1) Owner will remit any fees or assessments payable to the Association. ❑ (2) Broker will remit any fees or assessments payable to the Association from funds Broker receives in trust for Owner."
  6. E. Special Provisions
    "E. Special Provisions:" — open space on the paper (no printed rules, about four lines) above the signature block.
  7. Signatures
    "Broker's Printed Name … Date" with "By: ___ Broker's Associate's Signature" beneath it; two "Owner … Date" signature lines each with a "By" line beneath (the person signing for an entity Owner). Signature lines and their Dates are e-sign tabs placed when the document is sent.
