Form Outline

The TXR 2119 form is organized into the following sections:

  1. Preamble and Termination Rights
    Establishes that the tenant can terminate the lease by notifying the landlord before any contingency period expires if that contingency is not satisfied, with full refund of security deposit and prepaid rent.
  2. Lender Subordination Agreement (SNDA)
    Allows tenant to terminate if landlord cannot obtain an SNDA from existing lienholders on reasonably acceptable terms. Tenant agrees to sign the SNDA if obtained.
  3. Occupancy Certificate
    Allows tenant to terminate if the required certificate of occupancy cannot be obtained. If the tenant is responsible for obtaining it, they must demonstrate diligent good faith efforts.
  4. Permits and Licenses
    Allows tenant to terminate if business permits and licenses cannot be obtained despite good faith efforts, covering all governmental approvals needed to operate.
  5. Sign Permits
    Allows tenant to terminate if sign permits cannot be obtained despite good faith efforts, critical for businesses depending on visible signage.
  6. Title Review
    Allows tenant to review title and survey at their expense and terminate if title defects, encumbrances, or use limitations are found and landlord fails to cure them at least 10 days before the contingency expires.
  7. Other Contingencies
    Free-form area for custom contingencies beyond the five standard types, allowing parties to define any additional conditions that must be met for the lease to proceed.
  8. Signatures
    Execution block for landlord and tenant, with two signature lines per party.
