Form Outline

The TXR 2112 form is organized into the following sections:

  1. Addendum Header
    Header establishing this as a tenant-construction addendum that supersedes conflicting lease provisions.
  2. Execution and License to Enter
    Authorizes tenant construction and grants a pre-commencement license to enter the premises for build-out, subject to all lease terms except rent.
  3. Construction Costs and Reimbursement
    Tenant funds all construction costs upfront. Landlord reimburses up to a capped amount within 10 days of completion.
  4. Approval of Plans
    Detailed plan submission, landlord approval, and revision process with timelines. Failure to agree on plans can terminate the lease or void the addendum.
  5. Change Orders
    Any changes to approved plans require landlord's advance written approval, with a deemed-approval mechanism if landlord does not respond.
  6. Contractor Requirements
    Tenant must use landlord-approved contractors and subcontractors under written contracts.
  7. Construction Standards and Restrictions
    Construction must follow final plans and all laws, may not damage property or disturb other tenants, is subject to landlord inspection, and all debris must be removed.
  8. Completion
    Sets the construction completion deadline, defines limited extension rights for delays outside tenant's control, and requires a final certificate and certificate of occupancy.
  9. No Liens
    Tenant must guarantee lien-free construction, provide lien waivers before reimbursement, remove any filed liens within 20 days, and indemnify landlord against lien claims.
  10. Bonds
    Requires construction bonds to be posted before work begins, protecting the landlord.
  11. Insurance
    Requires comprehensive insurance before and during construction, including workers comp, liability, and property damage coverage at specified minimums.
  12. Tenant's Assumption of Liability
    Complete assumption of construction liability by tenant, with hold-harmless protection for landlord.
  13. Special Provisions
    Space for additional construction terms, with examples including landlord shell construction obligations.
  14. Execution
    Execution blocks for both parties.
