TXR 1201Farm and Ranch Real Estate Listing Agreement, Exclusive Right to Sell

The primary listing agreement used when a seller hires a broker to sell farm and ranch property in Texas under an exclusive right to sell arrangement. It grants the broker the exclusive right to market and sell the property, defines the property in detail (land, improvements, accessories, crops, exclusions, and a reservations / exceptions matrix covering minerals, leases, royalties, water rights, timber, easements, restrictions and zoning), establishes the broker's compensation with or without compensation for the other broker plus lease and renewal fees, and sets the term, listing services, access, intermediary status and the parties' obligations.

Form Outline

The TXR 1201 form is organized into the following sections:

  1. 1. PARTIES
    Identifies seller and broker with contact information for both; Seller appoints Broker as sole and exclusive agent with the exclusive right to sell.
  2. 2. PROPERTY
    Defines the farm and ranch property: land (county, legal description, address), improvements, accessories to be conveyed, crops, exclusions, the reservations and exceptions matrix, government programs, and Agricultural Development District status.
  3. 3. LISTING PRICE
    Sets the asking price; Seller agrees to sell for the Listing Price or any acceptable price and to pay the typical seller closing costs set forth in the TREC farm and ranch contract forms.
  4. 4. TERM
    Defines when the listing agreement begins and when it expires (11:59 p.m.); void if the Property is already under a binding contract when the Listing would begin.
  5. 5. BROKER COMPENSATION
    Broker's fee — complete EITHER 5A (with compensation for the other broker: total fee in (1) and the other broker's share in (2)) OR 5B (without compensation for the other broker); the authorization to disclose seller-paid buyer expenses; when earned and payable; other compensation (lease, renewal / extension / expansion, breach by buyer, service providers, other fees); protection period; county of payment; escrow authorization.
  6. 6. LISTING SERVICES
    MLS filing instructions (file per MLS rules, delayed filing, or do not file), the MLS-rules notice, and listing content licensing.
  7. 7. ACCESS TO THE PROPERTY
    Authorizing access, scheduling companies, keybox authorization, and Seller's indemnification of Broker.
  8. 8. RESERVED
    Reserved section — no content.
  9. 9. INTERMEDIARY
    Whether Broker may act as an intermediary if Broker also represents a prospective buyer (check A or B only).
  10. 10. CONFIDENTIAL INFORMATION
    Broker's duty of confidentiality for information obtained from Seller, during and after the Listing.
  11. 11. BROKER'S AUTHORITY
    Broker's marketing authority, Internet display opt-outs, financing options, and ten enumerated marketing activities.
  12. 12. SELLER'S REPRESENTATIONS
    Seller's representations about title, other listings, pools, options, financial obligations, liens, court jurisdiction, accuracy of information, relocation benefits, listing content, and special districts.
  13. 13. SELLER'S ADDITIONAL PROMISES
    Seller's obligations during the Listing: cooperation, no leasing or other listings without approval, referring buyers to Broker, pool compliance, leases, disclosures.
  14. 14. LIMITATION OF LIABILITY
    Vacancy-clause notice, limits on Broker's liability for injury or loss, and Seller's indemnification of Broker.
  15. 15. SPECIAL PROVISIONS
    Open space for additional negotiated terms and special conditions.
  16. 16. DEFAULT
    Consequences when Seller or Broker defaults on the Listing.
  17. 17. MEDIATION
    Good-faith negotiation then mediation before litigation, costs shared equally.
  18. 18. ATTORNEY'S FEES
    The prevailing party in litigation recovers costs and reasonable attorney's fees.
  19. 19. ADDENDA AND OTHER DOCUMENTS
    Checklist of addenda that are part of this Listing and other documents Seller may need to provide (check all that apply).
  20. 20. PROPERTY CONDITION DISCLOSURE
    Environmental hazard definition and Seller's statement of no knowledge of nine conditions (flooding, litigation, environmental hazards, dumpsites, wetlands, endangered species, material defects, flood hazard areas, groundwater / subsidence districts) except as disclosed.
  21. 21. AGREEMENT OF PARTIES
    Entire agreement, assignability, binding effect, joint and several liability, governing law, severability, partial sales, and notices.
  22. 22. ADDITIONAL NOTICES
    Notices on fair housing, mortgage payoffs, MLS information, valuables, surveillance devices, regulated items, lead-based paint, FIRPTA foreign-person status, and wire fraud.
  23. Execution
    Attorney advisory and the signature block for Broker (or Broker's associate) and the seller(s) — the paper labels the seller lines "Client".
