Form Outline

The TREC 25-17 form is organized into the following sections:

  1. Parties
    Names the parties to the contract -- seller and buyer.
  2. Property
    Comprehensive property definition unique to farm/ranch transactions, splitting improvements and accessories into farm/ranch and residential subcategories, plus crops, exclusions, and mineral reservations.
  3. Sales Price
    Defines sales price components and the unique acreage adjustment provision allowing price changes based on surveyed acreage vs. stated acreage.
  4. Leases
    Comprehensive lease disclosure section covering residential, fixture, natural resource, and surface leases. Includes buyer termination rights for undelivered lease copies.
  5. Earnest Money and Termination Option
    Establishes earnest money delivery requirements, the option fee/termination option period, additional earnest money provisions, and strict time-is-of-the-essence deadline compliance.
  6. Title Policy and Survey
    Comprehensive title and survey section with unique farm/ranch provisions including exception documents, surface lease exceptions, agricultural development district disclosure, and 12 statutory title notices.
  7. Property Condition
    Property condition section including inspection rights, seller's disclosure, acceptance as-is or with repairs, environmental matters (wetlands, hazardous substances, endangered species), and government programs affecting the property.
  8. Brokers and Sales Agents
    Broker and agent disclosure requirements and confirmation that broker fees are governed by separate agreements.
  9. Closing
    Establishes closing date and closing obligations for both parties including deed delivery, payment, and document execution.
  10. Possession
    Governs when and how possession transfers. Warns about insurance risks if possession occurs before closing without a proper lease.
  11. Special Provisions
    Space for additional informational items. Agents cannot add, delete, or modify contract provisions -- only factual statements allowed.
  12. Settlement and Other Expenses
    Allocates closing costs between seller and buyer, including seller contributions to buyer expenses and lender-prohibited fees.
  13. Prorations and Rollback Taxes
    Prorations through closing date plus critical rollback tax provision for agricultural property.
  14. Casualty Loss
    Risk of casualty loss on seller. Buyer has three remedies if not restored by Closing Date.
  15. Default
    Default remedies for both parties including specific performance and liquidated damages.
  16. Mediation
    Mandatory mediation with shared costs before any litigation.
  17. Attorney's Fees
    Prevailing party recovers attorney's fees. Applies to buyer, seller, listing broker, other broker, and escrow agent.
  18. Escrow
    Escrow agent provisions including liability limitations, earnest money disbursement procedures, and dispute resolution for earnest money.
  19. Representations
    Representations survive closing; untrue seller representations constitute default.
  20. Federal Requirements
    Federal tax requirements including FIRPTA withholding and the unique AFIDA (Agricultural Foreign Investment Disclosure Act) requirement for farm/ranch transactions.
  21. Notices
    Notice requirements and contact information for both parties and their agents.
  22. Agreement of Parties
    Entire agreement clause with checklist of all applicable addenda that are part of the contract.
  23. Consult an Attorney Before Signing
    Attorney consultation advisory with contact fields for both parties' attorneys.
  24. Execution and Effective Date
    Execution block with signature lines and the Effective Date (date of final acceptance).
  25. Ratification of Fee
    Fee-sharing agreement between listing broker and cooperating broker, with escrow agent authorized to disburse. Optional — only used when the listing broker (Seller’s broker) is splitting its own fee with the other (Buyer’s) broker.
  26. Broker Information and Agreement for Payment of Brokers' Fees
    Combined broker information page and fee payment agreement. Includes representation disclosures and fee terms.
  27. Receipts (Completed by Title / Escrow Agent)
    The receipt blocks — option fee, earnest money, contract, and additional earnest money (including their dates) — are completed by the TITLE COMPANY / escrow agent at receipt. Agents should normally leave this entire section blank.
